Affiliate Program Terms and Conditions:

Joining the Program:
By completing the registration process, and upon acceptance, you will become an Affiliate and are bound by the terms and conditions of this agreement. The Affiliate’s participation in the program is solely for this purpose: to legally advertise our website in exchange for a commission on products purchased by your referred buyers.

Overview:
This Agreement contains the terms and conditions that apply to an individual or corporate/ organization (“Affiliate”) to join The BeautyWrap Inc. (“BWI”), Affiliates Program (together, the “Program”).

Affiliate Responsibilities:
It is understood that the Affiliate will introduce BWI goods and services to the Affiliate’s current and prospective customers and will comply with all laws as well those that govern email marketing and anti-spam laws. BWI reserves the right to accept or reject any prospective customers and will pay the Affiliate a commission per sale referred using the Affiliate’s Program code according to the designated payment schedule.

Either the Affiliate or BWI may terminate the Affiliate relationship at any time. The Affiliate is only eligible to earn payments during the time as an approved Affiliate. BWI may change the program or service policies and operating procedures at any time.

Program Details:
- Pay-Per-Sale: 8% commission is paid on all purchases for each new buyer that is referred.
- Payments to Affiliates are made once per month, for the previous month. $50.00 USD is the minimum balance required for payout.
- Commission is calculated on net product sales only, not including shipping or handling charges.
- Affiliates receive commission on all referred buyer purchases for a total of 6 months (180 days) from date of the buyer's 1st purchase, no commission thereafter.
- All buyer purchases and Affiliate earnings can be monitored online through the Affiliate's login.

Affiliate Relationship:
This Affiliate relationship is one of independent contractors. BWI will not be liable for indirect, special or consequential damages arising in connection with this Program and our aggregate liability arising with respect to this Program will not exceed the total referral fees paid or payable to the Affiliate. BWI makes no express or implied warranties or representations with respect to the Program. In addition, BWI makes no representation that the operation of the service will be uninterrupted or error-free, and BWI will not be liable for the consequences of any interruptions or errors.

BWI is located in the United States and the program is governed by the laws of the United States and the State of Florida.

Revocation of Affiliate Status:
The Affiliate’s application and status in the program may be suspended or terminated for any of the following reasons:

- Inappropriate advertisements (creating false claims, misleading hyperlinks)
- Illegal spamming (mass email, mass newsgroup posting, etc.)
- Advertising on sites containing/promoting illegal activities, adult content, hate-speech, racism
- Violation of intellectual property rights

The Affiliate may use the graphics and text provided to the Affiliate by BWI, or the Affiliate may create its own as long as they are deemed appropriate according to the conditions above.

Affiliate Tracking:
When a web surfer clicks through the Affiliate’s Program link, a cookie is set in their web browser that contains the Affiliate’s number as well as the link. When this person decides to buy a product, the script will look for this cookie and/or affiliate number and will match the affiliate number to the affiliate who will be awarded the commission. Visitors sent through the Affiliate’s Program link the first time, may make a purchase at a later date by going directly to the online store and commission will still be awarded to the Affiliate if the cookie is present in their browser.

Terms of the Agreement:
These terms will begin upon the Affiliate’s registration with the affiliate program and will end when the Affiliate’s Program account is terminated. The terms of this agreement may be modified by BWI at any time. If any modification to the terms is unacceptable to the Affiliate, the Affiliate’s only decision is to terminate the Affiliate’s Program account. The Affiliate’s continuing participation in the program will constitute the Affiliate’s acceptance of any change.

Liability:
We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of “intents of harm” to the program or our website. We do not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this site. We make no claim that the operation of the affiliate program and our website will be error-free and we will not be liable for any interruptions or errors.

By submitting the Affiliate’s application, the Affiliate acknowledges that it has read the terms and conditions, understands, and agrees to them.

The following agreement is summarized as follows:

- The Affiliate shall place BWI’s banners anywhere on the its site as the Affiliate sees fit, or within non-spam emails.
- The Affiliate may not SPAM. We will terminate the Affiliate’s account on the first offense where SPAMMING is found. Do not send email to lists or groups to which the Affiliate does not have emailing permission.
- The Affiliate may place banners or links within the Affiliate’s newsletters, in content of the Affiliate’s website, or within other web related content.
- Adult, hate-speech, or other related sites representing or promoting illegal or violent acts are not allowed!

- BWI may email the Affiliate concerning new merchant programs
- BWI may change the service as needed to meet affiliate demands or to meet BWI's needs.
- The Affiliate will be paid a commission, at such time as the Affiliate’s account balance is $50 or more.
- All statistics are collected and calculated by BWI, and will be the only valid statistics used for determining commissions.
- Any page that contains BWI links, banners, or code must be written in English.
- As an affiliate, the Affiliate’s can only have 1 account. The Affiliate can list multiple domains in one account, but only one account is allowed.
- Self-referrals for affiliate or merchant accounts are strictly prohibited.
- The Affiliate’s physical address listed for receiving checks MUST be the Affiliate’s actual address.

THE AFFILIATE WILL HOLD BWI, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS OR ASSIGNS (“INDEMNITIES”) HARMLESS FROM ANY LIABILITY, LOSSES, DAMAGES, CAUSES OF ACTION, ADMINISTRATIVE LAW ACTIONS AND ORDERS, PENALTIES, FINES, COSTS (INCLUDING, BUT NOT LIMITED TO, REASONABLE ATTORNEYS’ FEES), CLAIMS, OR STRICT LIABILITY CLAIMS (COLLECTIVELY, “LIABILITY/CLAIMS”) ARISING OUT OF OR IN ANY WAY INCIDENT TO ANY ACTION TAKEN OR INACTION BY BWI OR ANY OF ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS OR ASSIGNS THAT RESULTS IN PERSONAL INJURY (WHETHER MENTAL OR PHYSICAL) OR DEATH, INFRINGEMENT OF ANY PATENT, TRADEMARK, COPYRIGHT, OR OTHER PROPERTY RIGHT, REGARDLESS OF WHETHER SUCH HARM IS TO CONTRACTOR, INDEMNITIES, THE EMPLOYEES OR OFFICERS OF EITHER, OR ANY OTHER PERSON OR ENTITY, AND REGARDLESS OF HOW SUCH LIABILITY/CLAIMS ARE CAUSED (BY INDEMNITIES’ NEGLIGENCE, THE NEGLIGENCE OF THIRD PARTIES, OR OTHERWISE), BUT EXCLUDING LIABILITY/CLAIMS TO THE EXTENT CAUSED BY THE SOLE (100%) NEGLIGENCE OF INDEMNITIES.
